The Role
ID Clearance is seeking a Legal Counsel on a contract-retainer basis to provide strategic and operational legal support. This role will advise on corporate governance, contracts, compliance, data privacy, and regulatory matters, ensuring the company operates within legal frameworks while supporting growth initiatives.
Responsibilities
- Draft, review, and negotiate contracts, including vendor agreements, SaaS contracts, NDAs, and partnership agreements
- Advise on corporate governance, board matters, and entity management
- Provide guidance on employment law, independent contractor agreements, and HR compliance
- Ensure compliance with data privacy, security, and industry-specific regulations
- Support intellectual property strategy, including trademarks, copyrights, and patents
- Identify legal risks and provide actionable guidance to mitigate exposure
- Partner with executive leadership on strategic initiatives and business decisions

- Strong commercial awareness with the ability to translate legal concepts into business action

Qualifications
- Juris Doctor (JD) degree and admission to practice law in the relevant jurisdiction
- 5+ years of experience in corporate, commercial, or technology law
- Experience with SaaS or technology companies preferred
- Proven ability to manage multiple priorities in a fast-paced environment
- Knowledge of employment law, data privacy, and regulatory compliance
